Terms of Service

These Terms of Service ("Terms") govern your access to and use of Up2Data's website at https://up2data.ai, API at https://api.up2data.ai, documentation at https://docs.up2data.ai, and related services (collectively, the "Service"). By creating an account, obtaining an API key, or using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. Acceptance of terms

You must be at least 18 years old and able to form a binding contract to use the Service. If you do not agree to these Terms, do not use the Service.

2. Accounts and API keys

You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity under your account. You must promptly notify us at support@up2data.ai if you suspect unauthorized access. We may suspend or revoke keys that appear compromised or used in violation of these Terms.

3. Service description

Up2Data provides a usage-based B2B data API for live enrichment, search, and related lookups of publicly available professional data (including LinkedIn-like profile, company, job, and post data). Results are billed according to our credit model as described on our pricing materials and documentation.

The Service depends on third-party sources and networks. We do not control LinkedIn or other upstream platforms and do not warrant that any particular source will remain available, scrapeable, or unchanged. Data freshness and completeness may vary by request.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or in violation of applicable privacy, employment, marketing, or export laws
• Resell, redistribute, or publish raw data dumps in a manner that violates third-party terms of service or applicable law, without ensuring your own compliance and lawful basis
• Abuse the Service—including exceeding rate limits, circumventing technical controls, reverse-engineering for competitive scraping of our infrastructure, or launching denial-of-service attacks
• Impersonate Up2Data, misrepresent your affiliation, or use the Service to phish, spam, or harass individuals
• Attempt to access other customers' accounts, keys, or data

We may investigate suspected violations and suspend or terminate access where reasonably necessary to protect the Service or others.

5. Billing and credits

The Service is billed on a usage-based credit model. Credits are consumed when the API returns billable results as described in our docs and dashboard. Unless we state otherwise in writing for a specific plan or promotion, purchased credits do not expire.

Fees are generally non-refundable except where required by law or where we expressly agree otherwise in writing. Pricing and credit packs may change; changes will not retroactively reduce credits already purchased in good faith.

6. Intellectual property

Up2Data and its licensors own the Service, including software, branding, documentation, and platform IP. These Terms do not transfer ownership of the Service to you.

As between you and Up2Data, you retain rights in your account data and in outputs you lawfully receive from the API for your permitted business use, subject to these Terms and any third-party rights in the underlying public data. You grant us a limited license to process your inputs and related metadata as needed to provide and secure the Service.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UP2DATA AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO UP2DATA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases; provisions that by nature should survive (including IP, disclaimers, liability limits, and governing law) will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local consumer or data-protection law requires otherwise. We may update the governing jurisdiction in a future version of these Terms once company formation and counsel review are confirmed; the effective date above will reflect any such update.

11. Privacy

Our collection and use of personal data is described in our Privacy Policy. For access, deletion, or correction requests, email support@up2data.ai.

12. Changes

We may modify these Terms by posting an updated version on this page. Material changes will apply going forward from the new effective date. Continued use of the Service after changes become effective constitutes acceptance where permitted by law.
